This schedule (the “Schedule”) forms an integral part of the agreement governing the provision of Services between MedMe Health Ltd. (“MedMe”) and the Participating Pharmacy, consisting of the master services and subscription agreement (or substantially equivalent agreement) or an executed Order Form incorporating by reference MedMe’s online SaaS Terms and Conditions available at https://www.medmehealth.com/saas-agreement, as applicable (collectively, the “Agreement”).
1. Purpose
This Schedule sets forth the technical and operational configuration standards applicable to those pharmacies or pharmacy clinics electing to participate in the Provincial Program administered by the Pharmacy Association of Nova Scotia (“PANS”) and the Nova Scotia Department of Health and Wellness (“Department of Health and Wellness”), including but not limited to a province-wide pharmacy or pharmacy clinic locator and patient-facing appointment availability tool (the “Provincial Locator”) to facilitate appointment bookings at individual Participating Pharmacies.
2. Definitions
Unless otherwise defined herein, capitalized terms shall have the meaning ascribed to them in the Agreement.
2.1.“Participating Pharmacy” means a pharmacy or pharmacy clinic that has opted to participate in the Provincial Program, including but not limited to the Provincial Locator or other related initiatives administered by PANS and the Department of Health and Wellness and utilizing the MedMe platform for service delivery.
2.2.“Standard Configuration Requirements” means the predefined operational parameters and system settings that enable a standardised user experience across all Participating Pharmacies. These requirements may include, but are not limited to, established conventions for service nomenclature, appointment structures, availability management, and patient communication protocols.
2.3.“Provincial Program” means any centralized or coordinated pharmacy service program implemented by PANS and the Department of Health and Wellness.
3. Participation Requirements
3.1.Participation in the Provincial Program is voluntary but conditional upon compliance with this Schedule, including the Standard Configuration Requirements.
3.2.By participating in the Provincial Program, the Participating Pharmacy agrees to maintain ongoing compliance with this Schedule and acknowledges that participation may be subject to periodic audits and requests for proof of compliance.
4. Standard Configuration Requirements
4.1.The Participating Pharmacy shall:
4.1.1.configure services in accordance with the Standard Configuration Requirements as provided in Section 6 below or as notified by MedMe, PANS, or the Department of Health and Wellness in writing;
4.1.2.maintain up-to-date availability and operating hours on the MedMe platform;
4.1.3.utilize MedMe workflows for scheduling and intake, as defined by the Provincial Program, or advised by MedMe, PANS, or the Department of Health and Wellness;
4.1.4.complete all required onboarding and periodic configuration updates as reasonably requested by MedMe, PANS or the Department of Health and Wellness;
4.1.5.ensure appropriate staff training and internal standard operating procedures (“SOP”) align with the requirements herein to support consistent execution.
5. Updates to Configuration Standards
5.1.MedMe may update or modify the Standard Configuration Requirements from time to time (the “Updates”), in consultation with PANS, the Department of Health and Wellness, and/or other relevant provincial authorities, and communicate such updates in writing to the Participating Pharmacy.
5.2.Participating Pharmacies shall implement the Updates upon the earlier of thirty (30) days of written notice from MedMe or such other period as specified by MedMe in writing.
6. Current Configuration Standards
6.1.The current Standard Configuration Requirements include, without limitation:

6.2.The Standard Configuration Requirements, including those listed at Section 6.1 above, may be modified by MedMe, PANS, or the Department of Health and Wellness from time to time without requiring an amendment to this Schedule. Participating Pharmacies will be notified in writing of material changes and must implement the Updates according to the timeline set out at Section 5.2 above.
7. Suspension and Termination
7.1.Failure to comply with the terms of this Schedule may result in, at MedMe’s sole discretion and without notice:
7.1.1.suspension or removal of the Participating Pharmacy from the Provincial Locator;
7.1.2.termination of the Participating Pharmacy’s participation in the Provincial Program; or any other remedial action MedMe deems necessary to maintain the Provincial Program’s integrity,
all without liability to MedMe and without prejudice to any other rights or remedies available to MedMe at law or in equity.
8. Data Sharing and Consent
8.1.The Participating Pharmacy expressly consents to the disclosure of aggregated and de-identified operational data to PANS and/or the Department of Health and Wellness for the sole purpose of administering the Provincial Program and evaluating pharmacy service delivery outcomes, effectiveness and outcomes.
9. Miscellaneous
9.1.In the event of conflict between this Schedule and any other provision of the Agreement, this Schedule shall prevail with respect to the subject matter herein.
9.2.MedMe may amend this Schedule with thirty (30) days’ prior written notice to the Participating Pharmacy. Continued participation following such notice shall constitute acceptance of any amended terms.
10. Withdrawal from Provincial Program
10.1.The Participating Pharmacy may withdraw from participation in the Provincial Program at any time upon thirty (30) days’ prior written notice to MedMe and PANS.
10.2.Withdrawal from the Provincial Program shall not affect the validity or enforceability of any other terms of the Agreement or any other schedules thereto.
10.3.Upon withdrawal from the Provincial Program, the Participating Pharmacy shall be removed from the Provincial Program, including the Provincial Locator, and all Standard Configuration Requirements shall cease to apply, provided that any obligations accrued prior to the effective date of withdrawal shall survive.
