These Terms of Use (“Terms”) govern your access to and use of the patient-facing digital booking platform (the “Services”) operated by MedMe Health Inc. (“MedMe Health”, “we”, “us”, or “our”). “You” means any visitor or user who accesses or uses the Services.
By accessing, browsing, submitting information through, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Services.
1. SCOPE OF SERVICES
MedMe Health is a healthcare technology provider. We develop and maintain software tools that enable pharmacies and healthcare providers to offer digital booking, intake, and appointment management workflows. MEDME HEALTH IS NOT A HEALTHCARE PROVIDER AND DOES NOT PROVIDE MEDICAL ADVICE, MAKE CLINICAL DECISIONS, OR PROVIDE TRIAGE, DIAGNOSIS, PRESCRIPTIONS, OR TREATMENT OF ANY KIND, NOR DOES IT ASSUME RESPONSIBILITY FOR PATIENT CARE OUTCOMES.
All clinical services booked through the Services are delivered by licensed pharmacies and/or healthcare professionals (“Providers”). Any provider-patient relationship is formed solely between you and the applicable Provider. MedMe Health does not employ, manage, supervise, or otherwise control Providers and is not a party to, or responsible for, any such relationship.
The Services are solely a means of facilitating administrative interactions (e.g., appointment booking) between you and the Providers. MedMe Health does not direct or control any Provider’s professional judgment or clinical decision-making. All clinical decisions, health services, and outcomes arising from your use of the Services are the sole responsibility of the applicable Provider.
MedMe Health is not liable for, the content, accuracy, or adequacy of information exchanged between you and the Provider.
The Services are not intended for use in medical emergencies or urgent situations. If you are experiencing a medical emergency, call 911 or seek immediate medical attention.
2. USE OF THE SERVICES
You may use the Services solely for the purpose of scheduling healthcare-related appointments with authorized Providers. By using the Services, you represent and warrant that:
you are submitting accurate, current, and complete information on your own behalf or on behalf of someone for whom you are legally authorized to act; and
you will comply with all applicable laws, regulations, and these Terms.
If you use the Services on behalf of another individual, you represent and warrant that you are authorized to accept these Terms on that individual’s behalf, and that such individual will be bound by these Terms. You are responsible for all use of the Services made through your account or access credentials, whether by you or anyone to whom you provide them. Any fees or charges for healthcare or related services provided by a Provider are determined by the Provider and are solely your responsibility. You are responsible for attending scheduled appointments or cancelling in accordance with the Provider’s policies. MedMe Health is not responsible for missed appointments or any fees imposed by a Provider.
Your access to the Services may be suspended or terminated at any time in MedMe Health’s sole discretion.
3. Acceptable Use
You agree that you will not, directly or indirectly:
submit false, incomplete, misleading, or fraudulent information through the Services;
schedule appointments without intent to attend, or engage in repeated, excessive, or disruptive booking activity;
harass, threaten, abuse, or otherwise act inappropriately toward Provider’s staff, healthcare professionals, or MedMe Health representatives;
interfere with or disrupt the operation of the Services, servers, or associated infrastructure or attempt to gain unauthorized access to any systems, networks, or data related to the Services;
use, deploy, or permit the use of automated scripts, bots, scrapers, or any data-mining tools to interact with the Services or otherwise attempt to circumvent usage limits, access controls, or technical restrictions imposed by MedMe;
transmit or introduce any viruses, malware, or other harmful code or send spam through the Services;
violate any applicable laws, regulations, or the rights of any third party (including intellectual property or privacy rights);
copy, reverse engineer, decompile, hack, disassemble, decrypt, or otherwise attempt to derive the source code, underlying structure, or user interface of the Services;
use the Services to build, support, or benchmark a competing product or service; or
share your access credentials with any other person or permit any unauthorized person to access the Services using your credentials
Your use of the Services is at your own discretion and risk. You are responsible for deciding whether to seek care from a Provider and for evaluating the suitability of any Provider or service for your needs.
MedMe Health reserves the right to restrict, suspend, or permanently revoke access to the Services for any reason, including, without limitation, including where reasonably necessary to protect the integrity, security, or proper operation of the Services or in the event of any breach of these Terms, with or without notice.
4. Communications
By using the Services, you consent to receive operational communications from MedMe Health and/or the Provider via the contact information you provide (including email and SMS). These communications may include confirmations, reminders, follow-ups, or changes related to your appointment.
You may opt out of certain non-essential communications; however, doing so may limit or affect the functionality of the Services.
All communications sent through the Services are intended solely for informational and administrative purposes. They do not constitute medical or other professional advice.
5. Privacy and Data Handling
MedMe Health collects, processes, and transmits limited personal information solely for the purpose of facilitating your interaction with a Provider and is done in accordance with our Privacy Policy, which outlines, amongst other things:
what information is collected and why;
how your data is used and protected; and
with whom your information may be shared (e.g., your selected Provider).
By using the Services, you authorize MedMe Health to share your information with the Provider you select for the purpose of facilitating your appointment and related communications.
6. service Availability and Limitations
MedMe Health makes reasonable efforts to ensure that the Services are available. However, we do not guarantee uninterrupted access or error-free performance. The Services may be temporarily suspended or permanently discontinued at any time without notice.
Without limiting the foregoing, MedMe Health is not responsible for:
Provider scheduling decisions, appointment availability, or appointment cancellations;
the outcome, quality, or timing of any care received; or
delays, errors, or failures caused by telecommunications providers, internet disruptions, or third-party services.
MedMe Health does not verify and is not responsible for information provided by Providers, including services offered, availability, or qualifications.
7. Third-Party Services
The Services may integrate or interact with systems, software, or APIs provided by third parties (e.g., SMS gateways, map tools, analytics providers). MedMe Health is not responsible for the availability, accuracy, or terms of use of third-party services.
Use of third-party tools may be subject to additional terms and privacy policies not governed by MedMe Health. You are encouraged to review and comply with those policies as applicable.
8. Intellectual Property
All content, software, design, and functionality comprising the Services is the exclusive property of MedMe Health or its licensors and is protected by intellectual property laws. Subject to the provisions of these Terms of Use, you are granted a limited, non-exclusive, non-transferable right to use the Services solely for their intended purpose.
9. Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the extent permitted by law.
10. Limitation of Liability
To the fullest extent permitted by applicable law, MedMe Health shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising from or related to the Services, these Terms of Use, your use of the Services or reliance on any information made available through the Services.
Without limiting the foregoing, MedMe Health’s total aggregate liability to you for any and all claims arising from or relating to the Services and these Terms of Use shall not exceed one hundred Canadian dollars (CAD $100), regardless of the cause of action.
11. indemnification
You agree to indemnify and hold harmless MedMe Health, its officers, directors, employees, contractors, affiliates, and service providers from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with your use of the Services, your violation of these Terms or applicable law, your interactions with any Provider or other third party, any use of the Services through your account or access credentials, and any infringement or violation of the rights of any person or entity.
12. modifications to Terms
MedMe may unilaterally amend, modify, or update these Terms and/or the Services at any time without prior notice. Any such amendments, modifications, or updates shall be effective immediately upon being made available to you on MedMe’s website or through any other means of communication. Your continued use of the Services after any changes to the Terms and/or Services constitutes your acceptance of them. If you do not agree to any such changes, you will no longer be able to access or use the Services.
13. governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of laws principles.
These Terms of Use are the entire agreement between MedMe and you regarding the subject matter of these Terms of Use, including the Services, and supersedes and replaces all prior and contemporaneous agreements, proposals or representations, written or oral, concerning any of its subject matter.
14. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. This section affects your legal rights. It provides that most disputes between you and MedMe Health will be resolved by binding individual arbitration rather than in court, and you waive any right to participate in a class, collective, or representative action, to the fullest extent permitted by law.
Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services (a “Dispute”) shall be resolved by final and binding individual arbitration, rather than in court. Arbitration means that Disputes will be resolved by a neutral arbitrator, not a judge or jury, and that discovery and appellate rights may be more limited than in court.
Class action waiver. You and MedMe Health agree that any Dispute must be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
Informal resolution first. Before initiating arbitration, the parties agree to make a good-faith effort to resolve the Dispute informally. You may contact MedMe Health at legal@medmehealth.com with a description of the issue. If the Dispute is not resolved within a reasonable period, either party may proceed to arbitration.
This arbitration agreement does not prevent you from bringing a complaint to a government agency or regulator where permitted by law.
Third-Party Disputes. MedMe Health is not responsible for, and has no obligation to become involved in, disputes between users of the Services or between you and any third party, including any Provider. To the fullest extent permitted by applicable law, you release MedMe Health and its directors, officers, employees, contractors, and agents from any claims, demands, or damages arising out of or relating to any such dispute or your interactions with a Provider or other third party through the Services.
15. miscellaneous
If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect. No failure or delay by MedMe Health to exercise any right or remedy shall constitute a waiver. Section headings are for convenience only and do not affect interpretation. MedMe Health shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including acts of God, labour disputes, power failures, or government actions. Provisions that, by their nature, should survive termination of these Terms shall survive termination.
